All the Companies in India are required to file eForms with the Registrar of Companies (RoC). Important update here is that recently the MCA has upgraded the portal from Version 2 to Version 3. Some of the vital changes with the same are discussed below:
- Trademark validation has now been added in Incorporation Form.
- Every User has to create his/her ID on the portal and has to register DSC through their respective login.
- E-MOA and E-AOA has been incorporated for Section 8 Company.
- E-Form DIR-2 has also been added up. Further, most of the physical forms have been removed.
- NIC Code 2008 is to be provided for object in V3.
- E-MOA has been added in the form MGT-14 to change Registered Office from one state to another in Memorandum of Association.
- Section pertaining to IBC has been added in the Form MGT-14.
- Photograph of the Registered Office is to be provided in the Form INC 20-A (for Commencement of Business). Which means that the Register Office should be ideal and adequately maintained at the time of the commencement of business.
- Note here that you would not be able to file form INC-22 if your any form seems to be pending for approval (this is in case of change in registered office/state).
- In the form PAS-3, type of Security to be allotted and type of issue (Right issue/ Private Placement) is now added.
- You are now required to provide the list of allottee in the form itself as against the separate attachment previously.
- A declaration is now added in the form PAS-3 stating – “There is no pending Forms for previous allotment”.
- Form 28 is now conditional STP which was non STP earlier for all purpose.
- It is observed that the form size has been increased to 10 MB. But, note that the size of each attachment cannot exceed 2 MB.
